These Terms & Conditions ("Terms") govern your access to and use of the Finhattan mobile applications for iOS and Android (the "Services"), provided by Finhattan Corp. ("Finhattan", "we", "us"). Finhattan is a mobile-only product; finhattan.app is an informational site where these Terms are published. By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility & restricted persons

• You must be at least 18 years old (or the age of majority in your jurisdiction) and have full legal capacity to enter into these Terms.
• You represent that you are not, and are not acting on behalf of, any person or entity subject to sanctions administered by the United Nations, the United States (including OFAC), the European Union or its Member States, the United Kingdom, or any other applicable authority, and that you are not located in a sanctioned or embargoed territory.
• You are responsible for ensuring your use of the Services is permitted under the laws that apply to you.

2. Availability & jurisdictional restrictions

The Services and certain assets or features may not be available in all countries or regions, and availability may change at any time. Where a particular asset or feature is not offered in your region, the app may show it as unavailable; you may still be able to view it and, where applicable, sell or transfer holdings you already have.

We make no representation or warranty that the Services, or any asset or feature, are legal or available in your jurisdiction, and we disclaim liability for any consequences arising from your access or cross-border use. You are solely responsible for determining whether your use is lawful where you are.

3. Your account

• You must provide accurate information and keep your account secure.
• You are responsible for all activity that occurs under your account.
• You must notify us promptly of any unauthorized use of your account.

4. Non-custodial wallet & self-custody

The Services include a non-custodial wallet. You alone control your private keys and recovery phrase, which are stored on your device. We never have access to your keys or recovery phrase and cannot recover your funds, reverse transactions, or restore access if you lose your recovery phrase. You sign and execute every transaction yourself and are fully responsible for safeguarding your keys and recovery phrase.

5. Risks

Digital assets are volatile and involve significant risk, including the potential loss of your entire holdings. Blockchain transactions are generally irreversible. You represent that you understand the inherent risks of cryptographic and blockchain-based systems and have sufficient knowledge to use digital assets. You use the Services at your own risk.

6. Your responsibility for compliance & taxes

• You are solely responsible for complying with all laws and regulations that apply to you in every jurisdiction from which you access or use the Services.
• You acknowledge cross-border risks, including differing regulatory requirements, exchange controls, and enforcement.
• The tax treatment of your activity depends on your jurisdiction and is your sole responsibility. We do not provide tax advice.

7. Acceptable use

You agree not to:

• Use the Services for any unlawful, fraudulent, or abusive purpose.
• Violate the rights of others or post illegal, harmful, or infringing content.
• Attempt to disrupt, reverse-engineer, or gain unauthorized access to the Services.
• Use the Services where prohibited by applicable law or sanctions.

8. User content

You retain ownership of content you create, but you grant us a worldwide, non-exclusive license to host and display it as needed to operate the Services. You are responsible for the content you share and must have the rights to share it.

9. Third-party services

The Services may let you access or connect third-party products and services. Those are governed by their own terms and policies, and we are not responsible for them. Any dealings you have with third parties are solely between you and them.

10. Intellectual property

The Services, including their software, design, and trademarks, are owned by Finhattan Corp. or its licensors and are protected by law. We grant you a limited, revocable, non-transferable license to use the Services for their intended purpose.

11. Disclaimers

The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.

12. Limitation of liability

To the maximum extent permitted by law, Finhattan Corp. and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, assets, data, or goodwill, arising from or related to your use of the Services.

13. Indemnification

You agree to indemnify and hold harmless Finhattan Corp. and its affiliates from any claims, damages, or expenses arising from your use of the Services or your violation of these Terms.

14. Termination

You may stop using the Services and delete your account at any time from within the app. We may suspend or terminate access if you violate these Terms or if necessary to protect the Services or other users.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
